Tally — Terms of Use

By creating an account or using Tally you agree to these Terms. If you do not agree, do not use Tally.

1. What Tally is — and is not

Tally is a scorekeeping tool for real-world social competitions — golf days, darts, quiz nights, bowls, fishing, card nights, board games, running clubs and similar. A host sets up an event, people join, everyone logs their score, and Tally shows a live leaderboard and keeps the results.

Tally is not a gambling service and not a payment service. Specifically, Tally does not:

• accept, hold, transfer or process money between anyone;
• take any share, fee or cut of any prize;
• offer odds, act as a bookmaker or counterparty, or settle any bet;
• provide any game of chance; or
• sell in-app currency or credits.

Any money that changes hands in the real world does so directly between the people involved. Tally only records information about what those people agreed and did, in the same way a scoreboard or a notebook would.

We are not a party to any agreement, arrangement, wager or debt between users. Tally records no debt and creates no obligation between anyone. A "paid" tick is a host's note, not a payment. A displayed split of a pot is arithmetic, not a determination of anybody's rights.

2. You must be 18 or older

You confirm you are at least 18 years old and legally able to enter these Terms. Tally is not for children. We may ask you to confirm your date of birth and may suspend an account where we have reason to believe this is not true.

3. What you may not use Tally for

You may not use Tally:

• in connection with any activity that requires a gambling, lottery or betting

licence in the place where it happens, unless the person running it holds that licence;

• for any activity that is unlawful where it takes place;
• to record, track, collect or enforce a debt between people;
• to harass, threaten or abuse anyone, or to post unlawful, hateful or infringing

content in chat, photographs, event names or profile names;

• to break, overload, reverse-engineer or gain unauthorised access to the

service, or to scrape it.

Whether your event and anything that happens at it is lawful is entirely your responsibility, not ours. Different countries and provinces treat games, stakes, prizes and competitions very differently. Satisfy yourself before you play, and take your own advice if you are unsure.

4. Hosts

If you host an event, you are responsible for:

• ensuring your event is lawful where it takes place;
• what you collect and record about your players, and for treating it fairly;
• accurately recording who has paid — a "paid" tick in Tally is your record, not

a payment; and

• anything that happens at your event, including any money that changes hands and

any private arrangement between individuals.

You indemnify us against any claim, demand, penalty, fine or loss brought by anyone and arising out of an event you host, or out of your use of Tally in breach of these Terms.

5. Prizes provided by a third party

Where a venue, sponsor or other third party offers a prize at an event, that third party is the promoter of it. They own it, fund it and hand it over themselves. Tally does not receive, hold, route, award or take any share of any prize, and takes no responsibility for whether a prize is delivered.

If a promotional competition is being run, the promoter is responsible for complying with the Consumer Protection Act and for publishing its rules. We may require a promoter to publish rules through the app before an event can display a sponsored prize.

6. Content you post

You keep ownership of the content you create (names, photographs, messages, scores). You grant us a non-exclusive, royalty-free licence to store, reproduce and display that content within the app, so the service can function — for example, showing your score to other players in your event. That licence ends when the content is deleted, except for copies held in routine backups until they are purged.

You are responsible for having the right to post what you post, including permission from anyone appearing in a photograph you upload.

If you believe content on Tally infringes your rights or breaches these Terms, email info@tallyitall.com with the detail. We will look at it and may remove content or suspend an account. Where we do, we will tell the account holder what we removed and why, and they may reply to us at the same address. In serious or urgent cases we may act first and explain afterwards.

7. Results and records

Scores and results are kept as a permanent, append-only record — corrections are added as new entries, never silent edits — so that events cannot be quietly rewritten. Treat what you log as final.

Leaderboards, finishing positions and any calculation of how a pot would divide are provided for information only, as a convenience. They reflect what you and your fellow players entered. They are not a determination of anyone's legal rights and you should not rely on them as one.

Deleting your account is handled as described in the Privacy Policy. Deleting your account removes what identifies you and anonymises your name within events you took part in. It does not delete other players' records, because the scores and messages in an event belong to everybody who played, not only to the person who set it up.

8. Fees

Tally is currently free. No charge is made to anyone for any part of it, and nothing in the app takes payment.

If we introduce a paid plan we will say so before it applies to you, and these Terms will be updated to set out what is charged, how it is billed, how it renews, how to cancel, and your refund rights. Any fee we ever charge will be for use of the software only. It will be the same whatever money is or is not involved in your events, and it will never be a share of any pot, prize or stake.

Where a subscription is bought inside the app, it is billed by Apple or Google under their own terms, not by us.

9. Availability

We aim to keep Tally running but do not guarantee it will always be available or error-free. Features may change. We may suspend or discontinue the service, and will give reasonable notice where we can. We are not liable for events you could not run because the service was unavailable.

10. Disclaimers and liability

Tally is provided "as is", without warranties of any kind to the extent the law allows.

**We are not responsible for any dispute, loss, debt, prize or wager between
users, or for anything that happens at your event.** Tally does not handle
money, hold stakes, or run any game.

**We are not liable for indirect or consequential loss, lost profits, lost
opportunity, or loss of data.**

**Our total liability to you, for everything, is limited to the greater of
R1,000 or the fees you paid us in the twelve months before the claim.**

None of this limits liability we are not allowed to limit by law —
including liability for death or personal injury, for fraud, for gross
negligence, or under the Consumer Protection Act and the Protection of Personal
Information Act.

11. Not gambling, tax or legal advice

Nothing in Tally is advice. Whether your event, its stakes or its prizes are lawful — and any tax on them — is for you to determine, with your own advisers if needed.

12. Termination

You may stop using Tally and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if we reasonably believe your use puts other users or us at risk. Except where it would be unlawful or unsafe to do so, we will tell you why and give you a chance to respond.

13. App stores

You get Tally through the Apple App Store or Google Play, and their terms apply to you as well as ours.

These Terms are between you and us only. Apple is not a party to them, has no obligation to provide support or maintenance for Tally, and gives no warranty in respect of it. Apple is a third-party beneficiary of these Terms and may enforce them against you. Any claim about the app — including product liability, a failure to meet a legal requirement, or a third-party intellectual property claim — is ours to answer, not Apple's. You confirm you are not located in a country subject to a United States embargo, and are not on a United States prohibited-parties list.

14. Governing law and where disputes go

These Terms are governed by the laws of South Africa.

You and we submit to the non-exclusive jurisdiction of the South African courts. If you are a consumer in another country, nothing here takes away the protection of any law of your own country that cannot be contracted out of, and you may bring proceedings in your own courts where the law of that country gives you that right.

Before going to court, please contact us at info@tallyitall.com. Most things are faster to fix that way.

15. General

• If any part of these Terms is found unenforceable, the rest continues to apply.
• Our not enforcing a right straight away does not mean we give it up.
• You may not transfer your rights under these Terms. We may transfer ours to a

company that takes over the service, on notice to you.

• These Terms and the Privacy Policy are the whole agreement between us about

Tally.

16. Changes

We may update these Terms. We will update the date above and, for material changes, notify you in the app before the change takes effect. Continued use after that means you accept the change.
